ASP WORLDWIDE CORPORATION

TERMS OF SERVICE


Effective Date: August 29, 2026


These Terms of Service govern access to and use of the services, programs, websites, consultations, e-commerce systems, and business solutions provided by ASP Worldwide Corporation, including the ASP PPS (Pick, Pack & Ship) program.


By applying for, purchasing, enrolling in, or using our services, the client acknowledges that they have reviewed and accepted these Terms of Service together with any applicable written service agreement.


1. NATURE OF SERVICES


ASP Worldwide Corporation provides business development, e-commerce setup, marketplace support, consulting, operational assistance, training, systems implementation, Pick, Pack & Ship coordination, and related business services.


Services may involve online marketplaces and platforms including Amazon, Walmart, eBay, Etsy, Shopify, and other third-party providers.


ASP Worldwide Corporation is an independent business services company and is not a bank, insurance company, securities broker, investment adviser, or representative of any marketplace unless expressly stated in writing.


2. ASP PPS PROGRAM


ASP PPS is a business services and e-commerce operations program designed to assist qualified clients in establishing and operating online sales channels.


Depending on the client's individual written agreement, services may include:


• Business and marketplace setup

• Marketplace application assistance

• Account preparation and configuration

• Product and supplier research

• E-commerce systems implementation

• Operational guidance

• Pick, Pack & Ship coordination

• Training and consulting

• Technical and administrative assistance

• Ongoing operational support


The exact scope of services will be determined by the client's signed agreement.


3. $10,000 PROGRAM STRUCTURE


Where applicable under the client's agreement, the ASP PPS $10,000 program structure consists of two separate components:


• $5,000 Service & Setup Fee

• $5,000 client operating/supplier capital


The $5,000 Service & Setup Fee compensates ASP Worldwide Corporation for professional services, setup, implementation, consulting, training, systems, resources, and application of the company's knowledge and experience.


The separate $5,000 operating/supplier capital is intended for eligible business operating purposes as defined by the client's written agreement and is not the ASP Worldwide Corporation Service & Setup Fee.


4. SERVICE & SETUP FEE


The Service & Setup Fee compensates ASP Worldwide Corporation for work performed on behalf of the client.


Once the contracted setup has been completed and the first marketplace included in the client's agreement has been approved, the applicable $5,000 Service & Setup Fee is considered fully earned and non-refundable, except where applicable law or the signed agreement requires otherwise.


Cancellation requests submitted before that milestone will be handled according to the ASP Worldwide Corporation Cancellation & Refund Policy, the client's signed agreement, services already performed, documented expenses, and applicable law.


5. PROFIT-SHARING STRUCTURES


Certain qualified ASP PPS clients may participate under a profit-sharing structure established in an individualized written agreement.


Where the 65/35 structure applies, the proposed allocation may provide 65% of defined net profit to the client and 35% to ASP Worldwide Corporation.


Selected operators may instead qualify for a 50/50 structure, under which defined net profit may be allocated 50% to the client and 50% to ASP Worldwide Corporation.


No profit-sharing structure applies unless specifically documented and accepted in a signed agreement.


The agreement will define how net profit is calculated, including applicable marketplace fees, product costs, refunds, shipping expenses, advertising, taxes where applicable, and other authorized business expenses.


6. NO GUARANTEE OF EARNINGS


ASP Worldwide Corporation does not guarantee income, revenue, sales, profits, return on capital, marketplace payouts, or any specific financial result.


Examples, screenshots, marketplace payouts, historical results, case studies, or other performance information presented by ASP Worldwide Corporation are provided for documentation or educational purposes.


Historical results are not necessarily representative of what another client will achieve.


Marketplace payouts are not the same as net profit.


Individual results depend on numerous factors including marketplace conditions, product selection, competition, expenses, supplier availability, account performance, customer demand, advertising, client participation, and third-party decisions.


7. THIRD-PARTY MARKETPLACES


Amazon, Walmart, eBay, Etsy, Shopify, payment processors, carriers, suppliers, banks, and other third-party services operate independently from ASP Worldwide Corporation.


ASP Worldwide Corporation does not control and cannot guarantee:


• Marketplace approval

• Account acceptance

• Account suspension or termination decisions

• Marketplace policies

• Product eligibility

• Payout schedules

• Payment holds

• Search rankings

• Customer demand

• Supplier availability

• Carrier performance

• Third-party fees

• Platform policy changes


Unless expressly stated otherwise, use of third-party names or trademarks does not imply sponsorship, partnership, affiliation, or endorsement.


8. CLIENT RESPONSIBILITIES


Clients are responsible for providing complete, accurate, and truthful information necessary to perform the contracted services.


Clients must comply with applicable laws, marketplace rules, tax obligations, supplier requirements, intellectual property requirements, and other obligations applicable to their business.


Clients may be required to provide identification, business documents, tax information, banking information, marketplace information, or other documentation requested by third-party platforms.


ASP Worldwide Corporation is not responsible for losses caused by inaccurate information, prohibited conduct, client noncompliance, or violations of third-party policies.


9. PICK, PACK & SHIP SERVICES


Where included in the client's agreement, ASP PPS may coordinate product pickup, receiving, preparation, packaging, and shipment.


Pickup availability, service areas, supplier requirements, carrier availability, shipping costs, delivery schedules, marketplace requirements, product characteristics, and other operational conditions may vary.


Shipping and delivery dates are estimates unless expressly guaranteed in a separate written agreement.


10. INTELLECTUAL PROPERTY AND BUSINESS SYSTEMS


Training materials, processes, documents, operational methods, branding, proprietary systems, business strategies, templates, website content, and other materials provided by ASP Worldwide Corporation remain protected by applicable intellectual property and contractual rights.


Clients may use materials provided to them for authorized purposes connected with their own business but may not reproduce, resell, distribute, license, or commercially exploit ASP Worldwide Corporation proprietary materials without written authorization.


11. CONFIDENTIALITY


ASP Worldwide Corporation and the client may exchange confidential business information during the relationship.


Each party agrees to use reasonable measures to protect confidential information and to use such information only for legitimate purposes related to the business relationship, except where disclosure is required by law or authorized by the affected party.


12. CANCELLATIONS AND REFUNDS


All cancellations and refund requests are governed by the ASP Worldwide Corporation Cancellation & Refund Policy and the client's applicable written agreement.

13. LIMITATION OF RESPONSIBILITY


To the maximum extent permitted by applicable law, ASP Worldwide Corporation is not responsible for indirect, incidental, special, or consequential losses resulting from third-party marketplace decisions, supplier failures, carrier delays, platform outages, payment holds, changes in marketplace policies, or circumstances outside the company's reasonable control.


Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.


14. MODIFICATIONS


ASP Worldwide Corporation may update these Terms of Service when reasonably necessary to reflect changes in services, operations, laws, or business practices.


Material changes will apply prospectively as required by applicable law and will not override specific contractual rights already established in a signed agreement unless legally permitted and agreed upon where required.


15. GOVERNING AGREEMENT


If a client signs a separate written agreement with ASP Worldwide Corporation, that agreement and these Terms should be interpreted together.


If there is a direct conflict, the signed agreement will control to the extent permitted by applicable law, unless the agreement states otherwise.


16. APPLICABLE LAW


Nothing in these Terms is intended to waive or restrict rights that cannot legally be waived.


Applicable federal, state, and local laws will control where legally required.
