ASP WORLDWIDE CORPORATION

SERVICE DELIVERY & FULFILLMENT POLICY


Effective Date: August 29, 2026


This Service Delivery & Fulfillment Policy explains how ASP Worldwide Corporation delivers completed business-development, e-commerce, marketplace, and ASP PPS services to its clients.


Because many ASP Worldwide Corporation services are digital, administrative, operational, and business-development services, “delivery” may include electronic delivery, account access, credentials, documentation, business systems, marketplace access, training, operational handoff, or other completed work rather than shipment of a physical product.


1. BUSINESS DELIVERY


Depending on the service package purchased and the applicable client agreement, ASP Worldwide Corporation may assist with the creation, development, configuration, and delivery of a complete business infrastructure.


A completed business delivery may include, where applicable:


• Corporation or other approved business entity setup

• Business registration documentation

• EIN and related business records

• Business email configuration

• Business website development

• Shopify store design and configuration

• Business branding and digital infrastructure

• Marketplace account preparation

• Amazon seller account preparation

• Walmart Marketplace account preparation

• eBay account preparation

• Etsy account preparation

• Shopify sales-channel configuration

• Supplier and product research

• ASP PPS operational setup

• Pick, Pack & Ship preparation

• Training and operational guidance

• Business documentation and access information

• Handoff of applicable usernames, account access, administrative information, systems, and operational resources


The exact deliverables depend on the client's selected program and signed agreement.


2. DIGITAL DELIVERY


Most business-development services are delivered digitally.


Delivery may be completed through:


• Email

• Secure online access

• Shopify administration

• Marketplace dashboards

• Business email accounts

• Electronic documents

• Online meetings

• Telephone or WhatsApp communication

• Account credentials or administrative access

• Training sessions

• Written operating instructions


A service may therefore be considered delivered even when no physical package is shipped.


3. BUSINESS HANDOFF


When contracted work has been completed, ASP Worldwide Corporation may provide the client with access to the business infrastructure created or configured for the client.


The handoff may include access to the client's:


Business entity information,

business email,

website,

Shopify store,

marketplace accounts,

supplier information,

operational systems,

business documents,

and other applicable resources included in the agreement.


After the operational handoff, the client may begin managing or participating in the ongoing business operations according to the applicable ASP PPS or e-commerce operating structure.


4. MARKETPLACE SETUP AND APPROVAL


ASP Worldwide Corporation may prepare, configure, submit, and assist with marketplace applications for platforms such as Amazon, Walmart Marketplace, eBay, Etsy, Shopify, and other online marketplaces.


Marketplace approval is controlled exclusively by the applicable third-party marketplace.


ASP Worldwide Corporation cannot guarantee approval by any marketplace.


Where a marketplace has already approved the client's account, the approved marketplace account may form part of the completed business delivery.


Where approval is still pending, ASP Worldwide Corporation may deliver the completed setup, documentation, application assistance, and other contracted work while continuing to provide the assistance specified in the applicable agreement.


5. BUSINESS BANKING


ASP Worldwide Corporation may provide business-setup assistance, documentation, guidance, or information that helps a client establish a business banking relationship with an eligible financial institution in the United States.


Bank accounts, financial services, credit products, payment-processing services, and related approvals are provided by independent financial institutions.


ASP Worldwide Corporation does not guarantee approval by any bank or financial institution.


Once a client establishes an approved business banking relationship, the client maintains responsibility and control over the applicable account unless otherwise expressly authorized in writing.


6. WEBSITE AND E-COMMERCE INFRASTRUCTURE


When website development is included in the client's program, ASP Worldwide Corporation may design and configure a Shopify website or other approved e-commerce infrastructure.


The website may serve as part of the client's central business system and may support integration or development of additional sales channels, including:


Amazon

Walmart Marketplace

eBay

Etsy

Shopify

and other approved marketplaces or e-commerce channels.


Each marketplace maintains its own eligibility, verification, approval, suspension, and operational requirements.


7. SUPPLY AND OPERATIONS


After the applicable business infrastructure has been delivered, the client may begin participating in supplier, product, purchasing, marketplace, fulfillment, and ASP PPS operations according to the client's program.


Operational activities may include:


Product sourcing,

supplier coordination,

purchasing,

inventory planning,

local pickup where available,

receiving,

Pick, Pack & Ship preparation,

marketplace fulfillment,

shipping,

customer-order processing,

and related e-commerce operations.


Operational responsibilities may be divided between ASP Worldwide Corporation and the client according to the applicable signed agreement.


8. PHYSICAL PICK, PACK & SHIP SERVICES


Where ASP PPS physical fulfillment services are included, ASP Worldwide Corporation may coordinate product pickup, receiving, preparation, packing, and shipping.


Pickup availability, geographic service area, supplier requirements, carrier availability, product dimensions, shipping expenses, marketplace requirements, delivery schedules, and other conditions may vary.


Shipping and carrier delivery estimates are not guarantees.


9. THIRD-PARTY SERVICES


ASP Worldwide Corporation works with or provides assistance involving independent third parties that may include:


Marketplace operators,

banks,

payment processors,

suppliers,

shipping carriers,

domain providers,

software providers,

Shopify,

and other technology or service providers.


Third parties control their own systems, approvals, requirements, fees, account decisions, policies, and service availability.


ASP Worldwide Corporation is not responsible for decisions made independently by third-party providers.


10. DELIVERY COMPLETION


A client's service will be considered delivered according to the completion requirements established in the applicable signed agreement.


Depending on the program, completion may include delivery of the contracted business infrastructure, completed setup work, required account configuration, documentation, training, operational systems, and other specifically agreed deliverables.


If a signed agreement establishes marketplace approval as a required completion milestone, that requirement will control.


Website language does not replace or modify the specific completion requirements contained in the client's signed agreement.


11. CLIENT RESPONSIBILITY AFTER DELIVERY


After business handoff, the client is responsible for protecting account credentials, complying with marketplace and financial-institution policies, maintaining accurate business information, managing authorized funds, following applicable laws, and using the delivered business systems responsibly.


Business ownership and access do not guarantee profitability, sales, marketplace longevity, financing, or any particular financial result.


12. NO GUARANTEED INCOME


Delivery of a completed business system does not constitute a guarantee of automatic income, passive income, sales, revenue, profits, marketplace payouts, or return on capital.


E-commerce and business operations involve financial and operational risk.


Results depend on numerous factors including marketplace conditions, products, suppliers, pricing, expenses, competition, customer demand, account status, advertising, shipping, and management.


13. CANCELLATIONS AND REFUNDS


Service delivery, cancellations, refunds, service fees, operating capital, and completion milestones are governed by the applicable client agreement and ASP Worldwide Corporation Cancellation & Refund Policy.
